• as the Target Companies.

The merger took place pursuant to Art. 492 § 1 item 1 of the Act of 15 September 2000 The Code of Commercial Companies, i.e. by transferring of all assets of the Target Companies to the Acquiring Company by way of universal succession and dissolution of the Target Companies without liquidation (merger by acquisition).

As of the day of merger the Acquiring Company, i.e. Przedsiębiorstwo Handlu Zagranicznego „Baltona” S.A. with registered seat in Warsaw, took over all rights and obligations of the Target Companies, i.e. BH Travel Retail Poland Sp. z o.o. with registered seat in Warsaw, Centrum Usług Wspólnych Baltona Sp. z o.o. with registered seat in Warsaw, KW Shelf Company Sp. z o.o. with registered seat in Warsaw and Sandpiper 3 Sp. z o.o. with registered seat in Warsaw.
